1. Parties & Acceptance（缔约方与同意）

These Terms and Conditions (the “Terms”) govern the access and use of the KING LONG Repair and Maintenance Information System (“DMS System”) by you (“User”, “you”, “your”) and the legal entity you represent (“Organization”). By clicking “I Agree” during registration, accessing, or using the DMS System, you confirm that you are a duly authorized representative of the Organization, and you and the Organization agree to be bound by these Terms and our Privacy Policy.

2. Definitions（术语定义，核心对齐 ISO 18541）

“DMS Information”: All repair, maintenance, diagnostic, wiring diagram, and programming data related to KING LONG vehicles, including security-related and non-security-related DMS.
“Authorized User”: An employee of the Organization who is registered and approved to access the DMS System.
“Security-Related DMS”: DMS affecting vehicle safety, ADAS, powertrain, or anti-theft systems (per ISO 18541).
“Non-Security DMS”: General maintenance, body, and cosmetic repair information.

“授权用户”：经注册并获批访问 DMS 系统的组织员工。

3. License Grant（许可授予，核心：非独占、不可转让、有限用途）

Subject to these Terms, KING LONG grants the Organization a non-exclusive, non-transferable, revocable license to access and use the DMS Information solely for the purpose of repairing and maintaining KING LONG vehicles owned or serviced by the Organization, for its internal business operations only. No right to reproduce, distribute, sublicense, or commercially resell DMS Information is granted without prior written consent from KING LONG.

依据本条款，金龙客车 授予组织非独占、不可转让、可撤销许可，仅为维修保养组织自有或承接的 金龙客车 车辆之目的，且仅限内部经营使用，访问与使用 DMS 信息。未经 金龙客车 事先书面同意，不得复制、分发、转许可或商业转售 DMS 信息。
4. Access & Eligibility（访问权限与资质，区分安全 / 非安全权限）

The Organization warrants that it is a registered independent repairer or authorized workshop in its jurisdiction, with valid business licenses and technical qualifications.
Access to Security-Related DMS requires additional approval (e.g., DMS certification, two-factor authentication, employee background check) as specified by KING LONG.
The Organization shall maintain accurate, up-to-date records of all Authorized Users and ensure only eligible personnel access the DMS System.

组织保证其系所在司法辖区内注册独立维修厂或授权维修车间，持有有效营业执照与技术资质。
访问安全相关 DMS需额外审批（如 DMS 认证、双因素认证、员工背景审核），具体以 金龙客车 要求为准。

5. Fees & Payment（费用与支付，订阅 / 按次 / 信用点模式）

Access to the DMS System may require payment of subscription fees, time-based credits, or per-transaction fees as published on the DMS Portal. Fees are exclusive of taxes, which User shall pay.
All fees are non-refundable. KING LONG may update fees with 30 days’ prior written notice; continued use after the effective date constitutes acceptance of the new fees.
Failure to pay fees may result in suspension or teDMSnation of access without refund.

访问 DMS 系统需支付 DMS 门户公示的订阅费、计时信用点或按次费用。费用不含税，税费由用户承担。
所有费用不予退还。金龙客车 可提前 30 天书面通知调整费用；生效日后继续使用即视为接受新费用。

6. User Obligations（用户义务，禁止滥用 / 爬虫 / 共享账号）

Not share account credentials, access keys, or DMS Information with third parties (except Authorized Users within the Organization).
Not use the DMS System for data mining, scraping, reverse-engineering, or creating competing repair databases.
Comply with all applicable laws, including data protection (e.g., GDPR, PIPL) and automotive repair regulations.
Report unauthorized access or data breach to KING LONG immediately.

不得向第三方（组织内部授权用户除外）共享账号凭证、访问密钥或 DMS 信息。
不得将 DMS 系统用于数据挖掘、爬虫、反向工程或制作竞争性维修数据库。
遵守所有适用法律，含数据保护（如 GDPR、中国个人信息保护法）及汽车维修法规。
发现未授权访问或数据泄露，立即向 金龙客车 报告。
7. Intellectual Property（知识产权，归属 金龙客车）

All DMS Information, software, trademarks, logos, and content in the DMS System are the exclusive intellectual property of KING LONG or its licensors.
User obtains no ownership rights; only the limited license as set forth in Section 3.
Any feedback, suggestions, or improvements provided by User regarding the DMS System are irrevocably assigned to KING LONG with all intellectual property rights.

DMS 系统内所有 DMS 信息、软件、商标、标识及内容均为 **金龙客车 或其授权方的独占知识产权 **。
用户不获得任何所有权，仅享有第 3 条约定的有限许可。

8. Confidentiality（保密，保密期 3 年）

User shall keep all non-public DMS Information, technical data, and access details confidential during the Term and for 3 years after teDMSnation.
Confidentiality obligations do not apply to information that is publicly available, lawfully obtained from a third party without breach of confidentiality, or independently developed by User prior to disclosure.

用户在协议期内及终止后3 年内，对所有非公开 DMS 信息、技术数据及访问细节承担保密义务。
保密义务不适用于公开可获取、从第三方合法获得且未违反保密义务、或用户在披露前独立开发的信息。
9. Disclaimers & Liability（免责与责任限制，核心：不保证无错、限赔偿额）

THE DMS SYSTEM AND INFORMATION ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.
KING LONG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, BUSINESS INTERRUPTION, OR DATA LOSS) ARISING OUT OF OR RELATED TO THE USE OF THE DMS SYSTEM.
TOTAL AGGREGATE LIABILITY OF KING LONG FOR ANY CLAIM RELATED TO THE DMS SYSTEM SHALL NOT EXCEED THE TOTAL FEES PAID BY USER IN THE 12 MONTHS PRIOR TO THE CLAIM.

金龙客车 不对因使用 DMS 系统而产生的任何间接、附带、后果性或惩罚性赔偿（含利润损失、业务中断、数据丢失）承担责任。
金龙客车 就 DMS 系统相关任何主张的累计总赔偿责任，不超过用户在主张前 12 个月内支付的总费用。
10. Term & TeDMSnation（期限与终止）

This Term commences on the date of acceptance and remains in effect until teDMSnated by either party.
KING LONG may suspend or teDMSnate access immediately upon written notice if User breaches these Terms (e.g., unauthorized sharing, non-payment, hacking).
User may teDMSnate the agreement with 30 days’ written notice, but no fees will be refunded.
Sections 6–9 (User Obligations, IP, Confidentiality, Liability) survive teDMSnation.

11. Governing Law & Disputes（适用法律与争议）

These Terms are governed by and construed in accordance with the laws of [Country/Region], without regard to its conflict of laws principles.
Any dispute arising out of or in connection with these Terms shall be resolved amicably through negotiation. If unresolved, the dispute shall be submitted to the courts of [City, Country/Region] for exclusive jurisdiction.

These Terms constitute the entire agreement between the parties, superseding all prior oral or written agreements.
No waiver of any term shall be deemed a waiver of any other term.
If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force.
